Director Loan £25k
Gowin announces that it has entered into a Loan Agreement (the "Loan Agreement") with Mr Chen Chih-Lung, the Chief Executive Officer of the Company, pursuant to which Mr Chen has made available a loan of £25,000 to the Company. Under the terms of the Loan Agreement, the interest rate is 2% per annum and the loan is repayable by the Company in twelve months, extendable by mutual consent.
The purpose of the loan is to provide short term liquidity to allow the Company to satisfy its payment obligations. Mr Chen will continue to support the Company's working capital requirements as and when required.
The Loan Agreement constitutes a related party transaction under Rule 4.6 of the AQSE Growth Market Access Rulebook. Garry Willinge and Mr Chien Chih-Peng, being the independent directors for the purposes of this transaction, consider that having exercised reasonable care, skill and diligence, the related party transaction is fair and reasonable as far as the shareholders of Gowin are concerned.
